Types of Agreements
For this assignment, you will prepare a memorandum from yourself to the managing director of your company. The memorandum will consist of a cover page and three discussion pages.
Begin your assignment with a cover page containing the following information:
Page Number
Title: Single statement identifying purpose of document (bolded)
Your Name
Date
On the cover page, provide a brief introductory paragraph focusing the reader’s attention on the necessity for a decision on the structure of an offer before drafting the final document.
Memorandum Pages
Next, address the following three issues in your memorandum, providing a one-page response for each as noted above. Start each page with a statement designed to focus the managing director’s attention on the issue to be addressed.
Issue No. 1—Nondisclosure Agreements
Nondisclosure agreements are a type of contract that has been determined to be in conflict with the U.S. Constitution’s First Amendment. This amendment was placed in front of all other constitutional rights. In fact, we could go so far as to say that the Constitution is written as a granting of rights that are in opposition to nondisclosure agreements. How would you justify the use of this form of contract?
Issue No. 2—Partnership Agreements
Describe the need for partnership agreements. What three elements would you insure were included in this type of agreement?
Issue No. 3—Indemnity Agreements
For a contract you would be willing to sign, describe and analyze data, factors, terms, costs, and anything else you would want in writing and agreed to by all parties to the contract. Feel free to choose the form of contract or agreement that is suitable to the product or service you would be contracting for.
